Satellite Operator Kacific and Tongan Government Reach Confidential Agreement, Settling Costly Contract Dispute

After a prolonged legal battle, satellite operator Kacific and the Tongan government have reached a confidential agreement to settle their contract dispute. The Tongan government’s failure to fulfill its contractual obligations led to this costly and protracted legal process.

Kacific had engaged in discussions with representatives of the Kingdom of Tonga to provide satellite broadband services. As a result, Tonga Satellite Ltd (TSL) was established, with the Tongan government as the majority shareholder and government officials serving as directors. Kacific provided critical services during the cable cut in 2019 which it claimed TCL owed fees to the mount of USD$5.7 million.

However, the Tongan government decided to deregister TSL. Kacific applied to the supreme court to reinstate TSL so that it can honour its debt. The courts granted the application and ordered that TSL be restored to the Tongan Register of Companies. It was also noted in the court judgment that the judge was satisfied that there is sufficient basis to support an inference, that government proceeded to “ engineer the removal of TSL from the Register for the clear purpose of frustrating the arbitral proceeding against TSL”. The government’s failure to address its obligations directly resulted in a more expensive and time-consuming court process.

Despite the government’s internal failure, both parties have now reached a confidential agreement to settle the matter. The agreement reflects a mutual recognition of the need to resolve the dispute in a beneficial way.

This case serves as a reminder of the consequences when government branches fail to navigate contractual obligations properly. Instead of resolving the dispute internally through negotiation or mediation, it was left to the courts, resulting in increased expenses for both parties.
